1. Who you are contracting with

These Terms govern your access to and use of the Bay platform (the "Service"). By creating an account or using the Service you agree to these Terms and enter into a contract with Bay ("Bay", "we", "us", "our"). If you are using the Service on behalf of an organisation, you confirm you have authority to bind that organisation.

2. The Service

Bay provides an AI-assisted property matching, buyer CRM, and analytics tool for Dubai real estate agents. Property listings, buyer records, and match results are provided as a productivity aid — you remain responsible for verifying information and complying with applicable real estate regulations.

3. Accounts

You must provide accurate account information and keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

4. Acceptable use

You agree not to:

  • use the Service for any unlawful purpose or in violation of applicable law;
  • upload or transmit fraudulent, misleading, or unsolicited (spam) content;
  • infringe the intellectual property or privacy rights of others;
  • attempt to interfere with the security or integrity of the Service, including probing, scanning, scraping, or introducing malware;
  • reverse engineer, resell, or redistribute the Service, or circumvent any technical limits.

5. Intellectual property

Bay and its licensors retain all rights, title and interest in and to the Service, including software, documentation, and branding. You receive a limited, non-exclusive, non-transferable right to use the Service in accordance with your subscription plan.

6. Your content

You retain rights to buyer information and other content you enter. You grant Bay a limited licence to host and process that content solely to provide the Service.

7. Payment and subscription terms

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by the Paddle Buyer Terms and our Refund Policy.

8. Free trial

New agents receive a 30-day free trial. After the trial ends, an active paid subscription is required to continue using the paid features of the Service.

9. AI outputs and accuracy

Match scores and AI-generated explanations are provided for informational purposes only, may be inaccurate, and are not a substitute for professional advice. You are responsible for verifying property information with the listing owner and for advice you give your clients.

10. Service level

The Service is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted or error-free operation. To the fullest extent permitted by law we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

11. Suspension and termination

We may suspend or terminate your access to the Service for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may stop using the Service at any time by closing your account.

12. Liability

To the extent permitted by law, Bay's aggregate liability arising out of or relating to the Service is limited to the amount of fees paid by you for the Service in the 12 months preceding the event giving rise to the claim. Bay is not liable for indirect, consequential, special, incidental, or punitive damages, including loss of profits, data, or goodwill. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

13. Indemnity

You will indemnify Bay against claims arising from your content, your use of the Service in breach of these Terms, or your violation of applicable law.

14. Changes

We may update these Terms from time to time. Material changes will be notified through the Service or by email. Continued use after changes take effect constitutes acceptance.

15. Governing law

These Terms are governed by the laws of the jurisdiction in which Bay is established, unless a mandatory local law of your residence applies.
